Overview of Our Services
Vumonic is an email receipt company that delivers proprietary email receipt data exclusively owned and maintained by us. Our data is provided as both an enterprise solution and a software-as-a-service (SaaS) platform. All data available through our Services is our own and is not aggregated from third parties.

Acceptance & Scope
By accessing or using our website, platform, applications, or related services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you act on behalf of an organization, you confirm you have the authority to bind that organization. If you do not agree to these Terms, please discontinue use immediately.

Definitions
• "Vumonic," "we," "us," "our": The provider of these Services.
• "Site": The Vumonic website and any related online portals.
• "Platform": Our SaaS solution featuring proprietary data and functionalities delivered through the Site.
• "Applications": Additional software, extensions, or features offered in conjunction with the Platform.
• "Content": All text, images, graphics, logos, audio, video, and other digital material displayed on the Site and Platform.
• "Account": Your personal user account that provides access to the Platform.
• "Subscription": A license (trial, monthly, or annual) that grants access to the Platform.
• "Authorized User": An individual designated to use the Platform on behalf of an organization.Eligibility & Account Creation
• You must be at least 18 years old, or at least 13 with appropriate adult supervision.
• If you are between 13 and 18, review these Terms with a parent or guardian.
• You must not use our Services if you are a direct competitor of Vumonic.
• When creating an Account, you agree to provide accurate, complete information, safeguard your login credentials, and notify us immediately at mgmt@vumonic.com if you suspect unauthorized access.

Subscription, Licensing & Access
a. License
 Subject to your compliance with these Terms, we grant you a non-exclusive, nontransferable, worldwide, revocable license to access and use a limited version of the Platform. This license applies solely to Authorized Users designated by your organization.
b. Subscription Types
 • Trial Subscription: In select regions, you may access a limited-feature version of our Platform free of charge for a set period. The trial begins upon your first login and ends either within 24 hours or when you upgrade your Subscription.
 • Monthly/Annual Subscription: After the trial period, you may subscribe on a month-to-month or annual basis. Your Subscription begins once payment is confirmed and continues until terminated as outlined below.
c. Account Management
 You are responsible for managing Authorized Users. To add, change, or reassign Authorized Users, please contact us at mgmt@vumonic.com.

Payment, Fees & Taxes
Subscription fees are displayed on our Site and must be paid in advance according to our payment instructions. If invoiced, full payment is due within 20 days of invoice issuance. Fees exclude any applicable taxes, levies, or duties, which you are responsible for.

Term, Renewal & Termination
a. Subscription Term
 • Monthly Subscriptions: Renew automatically until canceled with a minimum of 7 days’ notice.
 • Annual Subscriptions: Continue for 12 months and renew automatically for additional 12‑month periods unless terminated with at least 30 days’ notice prior to the term's end.
b. Termination by Vumonic
 We may immediately terminate your access if you breach these Terms.
c. Termination by You
 You may cancel your Subscription using the tools provided on the Platform or by emailing mgmt@vumonic.com. Note that fees paid are non‑refundable.
d. Post-Termination
 Upon termination, your Account and any licenses granted will cease immediately, and you must discontinue use of our Services.

Permitted Use & Restrictions
You may use our Services only in accordance with these Terms. You must not, and must not permit any third party to:
• Sell, lease, sublicense, distribute, or otherwise transfer any portion of the Platform, Site, or Applications.
• Bypass or interfere with security measures or usage limitations.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform, Site, or Applications.
• Share data from the Platform without our prior consent and proper attribution.
• Use automated means (e.g., robots, spiders, scrapers) to extract data from the Platform.
• Impose an unreasonable load on our infrastructure.
• Remove or alter proprietary notices, trademarks, or intellectual property markings.
• Use our Marks without prior written consent.
• Develop, support, or operate a competing service using our Platform, Site, or Applications.
• Engage in any illegal or harmful activities as determined solely by us.Suspension
If we suspect misuse or believe your actions pose a risk to us or third parties, we may suspend or disable your Account without prior notice.

User Submissions & Feedback
a. Responsibility
 You are solely responsible for any content ("User Submissions") you post on our Site. We do not guarantee the confidentiality of such submissions.
b. Ownership & License
 You retain ownership of your User Submissions but grant Vumonic a worldwide, irrevocable, non‑exclusive, royalty‑free license to use, reproduce, modify, display, and distribute them.
c. Exposure
 You may be exposed to content from other users. We are not responsible for the accuracy or appropriateness of such content.

Intellectual Property Rights
All rights, title, and interest in the Site, Platform, Applications, and all proprietary data and Content (excluding User Submissions) are owned by Vumonic or our licensors. No rights are transferred to you except for the limited license granted herein. All trademarks and logos are the property of Vumonic or their respective owners.

Disclaimers & Warranty
Our Services are provided "as is" and "as available" without any warranties, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free access to the Platform. Some jurisdictions may not permit certain warranty disclaimers.

Limitation of Liability
To the fullest extent permitted by law, Vumonic, its affiliates, and third‑party providers are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use or inability to use our Services. Our total aggregate liability will not exceed the fees paid by you in the six months preceding the incident.

Indemnification
You agree to indemnify and hold harmless Vumonic and its affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of our Services or breach of these Terms. Notify us promptly at mgmt@vumonic.com if such a claim arises.

Assignment
You may not transfer or assign your rights under these Terms. Vumonic may assign these Terms without restriction.Customer Reference
You acknowledge that we may use your name, logo, or other identifying information to reference you as a customer in our marketing materials and on our Site.

Third‑Party Software
Portions of our Platform may incorporate open‑source or third‑party software governed by separate license terms. In the event of a conflict, those terms apply solely to the related software.

Modifications to These Terms
We reserve the right to update these Terms at our sole discretion. Changes will become effective 5 days after posting on the Site or notifying you via mgmt@vumonic.com. Continued use of our Services signifies acceptance of the revised Terms.

Governing Law & Dispute Resolution
These Terms are governed by the laws of Estonia. Any disputes will be exclusively resolved in the courts located in Tallinn, Estonia. Notwithstanding the above, Vumonic may seek injunctive or equitable relief in any court of competent jurisdiction.

Data Protection & Compliance
We comply with applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the European Union General Data Protection Regulation (GDPR). California residents have the right to request access to, deletion of, and correction of their personal data. Similarly, users in the European Union have rights under GDPR. Copyright Policy & DMCA Notices
a. Copyright Infringement Claims
 If you believe your copyrighted work has been infringed, please send a written notification that includes:
  • Your physical or electronic signature.
  • A description of the copyrighted work.
  • A description of the location of the infringing material on our Site (include URLs when possible).
  • Your contact information (address, telephone number, and email).
  • A statement of good faith belief that the use is unauthorized.
  • A statement under penalty of perjury that the information is accurate.

‍b. Counter Notifications
 If you believe material was removed in error, please send a counter notification including:
  • Your signature.
  • Identification of the removed material and its original location.
  • A statement under penalty of perjury of your good faith belief that the removal was mistaken.
  • Your name, address, and telephone number, along with consent to the appropriate jurisdiction.

General Provisions
Section headings are for convenience only and do not affect interpretation. If any provision is found unenforceable, the remaining provisions will remain in full force. Failure to enforce any right does not constitute a waiver of that right. These Terms, together with our Privacy Policy, form the entire agreement regarding the Services.
